I. Project Background

1. Project NameContract for Human resource services (International)

2. Service ContentThe Rumaila Project currently operates 6 drilling rigs (5 integrated turnkey rigs and 1 day-rate rig), 6 Workover Rigs, 1 cementing team, 1 mud logging team, 1 directional drilling service team, and 1 mud service team.

To ensure smooth project implementation, personnel for relevant positions are hired through a manpower company, including:

1 Drilling Senior HSE advisor, 1 Drilling Assistant Senior HSE Advisor, 24 Drilling HSE officer, 2 Drilling Senior Lifting Supervisor, 12 Drilling Lifting Supervisor, 2 Drilling Casing Supervisor, 2 Drilling Technical Dept. Staff, 2 Drilling Cementing engineer.

1 WO Senior HSE advisor,1 WO Assistant Senior HSE Advisor, 12 WO HSE officer, 2 WO Senior Lifting Supervisor,12 WO Lifting Supervisor, with an estimated 13 positions and a total of 74 personnel.

3. Project LocationRumaila project Base and Rig site in Basra Iraq.

4. Service PeriodFrom the date of signing the contract to Jan. 31st, 2026.

II. Technical requirements

1. According to the bidding requirements, the Tenderer shall provide a quotation based on the scope of services specified in the bidding documents.

2. The Tenderer shall strictly comply with the relevant laws and regulations of the employee's country, especially those related to labor protection and employee welfare policies. After the contract is signed, the Tenderer shall provide the corresponding labor services for the drilling operations located in the Rumaila Oilfield, Iraq, in accordance with the agreed timeline and scope.

3. The technical service personnel provided by the Tenderer must hold the required certificates for their positions by tenderer own cost, such as a valid international IADC Well Control Certificate, Lifting Supervisor certificates and an overseas health certificate, in order to work in the Rumaila Oilfield in Iraq. They must also provide a certificate of no criminal record issued by the public security authority in their place of residence. Otherwise, the Tenderer shall bear all consequences arising therefrom. If any certificate updates or renewals are required during the service period, the related costs shall be borne by the Tenderer.

4. The technical service personnel provided by the Tenderer shall sign a labor contract with the Tenderer. The Tenderer shall provide the original and copies of the labor contract and other supporting documents to the Tenderee, including but not limited to resumes, academic certificates, identification documents, health certificates, and certificates of no criminal record. The authenticity of all submitted materials must be guaranteed.

5. The Tenderer shall be responsible for providing insurance coverage for the employed personnel, including but not limited to personal accident insurance and domestic and overseas medical insurance. The Tenderer shall submit relevant insurance documents to the Tenderee, and the validity period of the insurance (including any renewals) shall not be shorter than the duration of the labor service contract.

6. The Tenderer must accept the tax rates stipulated in the contract.

7. Except under special circumstances agreed upon by the Tenderee, technical service personnel are required to sign a Health Commitment Letter with the Tenderee before commencing employment. Any breach of this commitment shall result in corresponding liabilities. The contents include:

1) Before onboarding, personnel must complete the overseas health examination confirming that they are in good health and fit for overseas work. The related expenses shall be borne by the Tenderer.

2) The individual does not have typhoid, hepatitis, hypertension, heart disease, diabetes, active tuberculosis, gastrointestinal diseases (including carriers), mental illness, or any occupational diseases as identified by the Occupational Disease Diagnosis Committee, or any other illnesses that may affect their own health or the health of others, and that would not hinder the performance of their assigned duties.

8. During the term of this contract, the Tenderer shall keep all of the Tenderees confidential information strictly confidential and shall not disclose any related materials to any third party. If the technical service personnel cause any leakage of the Tenderees trade secrets (except for matters permitted by the company), the Tenderer shall bear the corresponding legal liability.

9. The Tenderer shall pay wages to the technical service personnel monthly in accordance with regulations, provide social insurance, pay individual income tax and other related expenses, and ensure that wages are not lower than the minimum income standard stipulated by the local government.

10. In addition, the Tenderer shall provide the Tenderee with dual certification (from both countries' embassies) documents for the social insurance payment of the technical service personnel and bear the costs of processing these documents.

11. The Tenderer shall manage its employees in accordance with the companys policies, including establishing attendance systems, handling employee resignations, and disciplining violations. The Tenderer shall be responsible for any damages, fatal accidents, financial compensations, and labor disputes that occur during the course of work.

12. Unless approved by the Tenderee, the Tenderer shall not arbitrarily change the employees’ positions or recall employees without reason (except for voluntary resignation by the Tenderer’s employees). If a technical service personnel vacancy occurs, the Tenderer shall fill all vacancies within 15 working days upon receiving the notice. If any on-duty or employed personnel resign, the Tenderer must notify the Tenderee at least 3 months in advance and prepare a replacement candidate. The Tenderer shall be responsible for any losses caused.

13. To obtain a certificate similar to the ISO9001 quality management system certification, it is necessary to verify it on the CNAS website.

14. To obtain a certificate similar to the ISO45001 occupational health and safety management system certification, needs to verify it on the CNAS website.

15. Submit the "Statistics Table of qualified employees Reserve", and the qualified employees reserve coverage rate should be greater than 50%.

16. Purchase sufficient foreign-related employer liability insurance (with coverage rate of 100%) for employees.

17. Pay sufficient social insurance (with a coverage rate of 100%) for employees.

18. Promise to prioritize hiring current personnel providing project services, do the best to maintain the stability of on-site personnel, and provide the "Personnel Stability Guarantee Plan".

III. Bidder Qualification Requirements

1. The Tenderer must be a general taxpayer who is capable of providing the services being tendered and independently bears civil and other legal responsibilities.

2. This Tender does not accept joint bidding.

3. Ability to receive and pay in US dollars (certificate required).

4. The tender participating in the bidding must meet the following conditions: complete and properly registered company documentation, full legal entity qualifications, and good standing in terms of qualifications and reputation. Possess qualifications such as human resources overseas labor dispatch license and other related credentials.

5. Schedule requirements: within the service application period, professional personnel must be dispatched to complete the related services

6. Quality requirements: Meet the basic qualification requirements for contract of ROO.

7. HSE management: follow HSE local management.

8. Good financial status (audit reports or other supporting documents for the past two years are required).

9. The Tenderer must possess Human resources service qualifications and overseas labor dispatch qualifications.

10. Possess more than two year of Human resources service experience (project proof required).

IV. Qualification pre-examination

1. Registration period: June 12th, 2025, to June 18th, 2025, 24:00 (Iraq time)

2. Application requirements

7Identification certificate of the legal person (scan of passport or ID card).

V. Rule and procedures

If there are less than three qualified bidders, the process will continue after approval by the superior. If there are more than three qualified bidders, the tenderer will issue the tender documents by email.

VI. Description

This tender is subject to Chinese laws, Iraqi local laws and regulations. The tendereree reserves the right to cancel or re-tender.
